Terms of Service

These Terms of Service (the "Terms") govern your use of Meirakami's services. Meirakami is operated by Malik Townsend ("Meirakami," "we," or "us"). By purchasing a service or engaging us, you ("you" or "Client") agree to these Terms.
1. Services
Meirakami provides two services:
- Hermes Agent Setup — a one-time engagement to design, configure, and deploy a private AI executive assistant on dedicated infrastructure for the Client. Includes discovery, configuration, 3–5 custom skills, integration with the Client's communication and productivity tools, voice calibration, permission controls, and a handoff training session. Setup is estimated to take 20–40 hours of work delivered over 2–4 weeks.
- Hermes Agent Retainer — a monthly service that includes monitoring, incident response, up to four (4) skill additions or revisions per month, ongoing performance and voice refinement, all operating costs, a monthly review call, and next-business-day response. The Retainer requires a three (3) month minimum commitment and continues month-to-month thereafter.
2. Fees and payment
Setup is a one-time fee of $8,000 USD, paid in full before work begins. The Retainer is $1,500 USD per month, billed monthly in advance via Stripe. Discount codes, when issued, may reduce the Setup fee at the time of purchase.
Work beyond the included scope (for example, more than four skill additions or revisions in a month) is billed at $175 USD per hour with the Client's prior approval. Infrastructure and third-party costs outside the bundled scope (such as additional cloud-hosted hardware or premium third-party APIs) are quoted during discovery and billed separately at cost or with a clearly disclosed administrative fee.
3. Term and termination
The Setup engagement ends when the agent is delivered and the handoff session is complete. The Retainer has a minimum term of three (3) months from the first monthly billing date. After the minimum term, either party may terminate the Retainer with thirty (30) days' written notice. The Client's final month after notice is the last billable month.
We may suspend or terminate services for non-payment, breach of these Terms, or use that violates the law, our acceptable-use policy, or the terms of service of any third-party provider integrated with the service.
4. Pause clause
The Client may pause the Retainer for up to one (1) month per twelve (12) month period with seven (7) days' notice. During a pause, the agent remains configured but is not actively maintained, no monthly fee is charged, and the minimum term is extended by the length of the pause.
5. Intellectual property
The Client owns their assistant's identity configuration, custom skills built for them, and any client-specific data the assistant processes. Meirakami retains ownership of generalized architectural patterns, internal tooling, and methodologies used across engagements. Meirakami may reuse generalized patterns across future clients but will not reuse client-specific configurations or data.
6. Confidentiality
Each party agrees to keep the other's confidential information confidential and use it only to perform under this agreement. Confidential information includes business information, technical configurations, client communications observed by the agent, and any information marked or reasonably understood to be confidential. This obligation survives termination.
7. Acceptable use
The Client agrees not to use the agent to violate any law, send unsolicited bulk messages, impersonate third parties without their consent, generate content that violates third-party rights, or attempt to bypass safety controls of the underlying AI providers.
8. Disclaimers
The service is provided "as is." AI outputs may be incorrect or inappropriate; the Client is responsible for reviewing assistant-generated outputs before relying on them or sending them on their behalf. Meirakami does not guarantee uninterrupted service and is not responsible for outages or changes from third-party providers integrated with the service.
9. Limitation of liability
To the maximum extent permitted by law, Meirakami's aggregate liability under these Terms is limited to the fees paid by the Client in the three (3) months preceding the event giving rise to the liability. Neither party is liable for indirect, incidental, consequential, or punitive damages.
10. Governing law
These Terms are governed by the laws of the United States and the state in which Meirakami is operated, without regard to conflict of law principles. Any dispute will be resolved in the state or federal courts located in that jurisdiction.
11. Changes to these Terms
We may update these Terms. Material changes will be communicated to active clients at least thirty (30) days before they take effect. The version in force at the time of purchase governs that purchase.
